1. Introduction
Welcome to E-Merchant ("Company", "we", "our", "us"). These Terms of Service ("Terms", "Terms of Service") govern your use of our website located at e-merchant.com and our payment processing services (together or individually "Service") operated by E-Merchant.
By accessing or using the Service, you agree to be bound by these Terms. If you disagree with any part of the terms, you may not access the Service.
2. Payment Processing Services
E-Merchant provides payment processing services for merchants to accept payments from their customers. By using our Service, you authorize us to act as your agent to process payments, transmit funds, and handle chargebacks and refunds as applicable.
We reserve the right to refuse service to anyone for any reason at any time, including but not limited to violation of these Terms or engaging in prohibited business activities.
3. Merchant Accounts
To use our payment processing services, you must create an account. You are responsible for maintaining the security of your account and password and for restricting access to your account. You agree to accept responsibility for all activities that occur under your account.
You must provide accurate and complete information when creating your account and keep this information updated. Failure to do so constitutes a breach of the Terms, which may result in immediate termination of your account.
4. Fees and Payments
E-Merchant charges fees for the use of our payment processing services. These fees are outlined in your merchant agreement and may be updated from time to time. We reserve the right to change our fees upon thirty (30) days notice.
You agree to pay all fees associated with your use of the Service. Fees will be deducted from the payments processed on your behalf, and you authorize us to do so.
5. Prohibited Activities
You may not use the Service for any illegal or unauthorized purpose. You must not, in the use of the Service, violate any laws in your jurisdiction (including but not limited to copyright laws).
Prohibited businesses include, but are not limited to:
- Sale of illegal goods or services
- Sale of counterfeit or unauthorized goods
- Adult content and services
- Gambling, gaming, and/or any other activity with an entry fee and a prize
- Multi-level marketing schemes
- Investment opportunities or debt services
- Virtual currency that can be monetized, re-sold, or converted to physical or digital goods
6. Intellectual Property
The Service and its original content, features, and functionality are and will remain the exclusive property of E-Merchant and its licensors. The Service is protected by copyright, trademark, and other laws of both the United States and foreign countries.
Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of E-Merchant.
7. Limitation of Liability
In no event shall E-Merchant, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from:
- Your access to or use of or inability to access or use the Service;
- Any conduct or content of any third party on the Service;
- Any content obtained from the Service; and
- Unauthorized access, use, or alteration of your transmissions or content.
8. Termination
We may terminate or suspend your account and bar access to the Service immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever and without limitation, including but not limited to a breach of the Terms.
If you wish to terminate your account, you may simply discontinue using the Service or contact our support team to request account deletion.
9. Governing Law
These Terms shall be governed and construed in accordance with the laws of the State of New York, United States, without regard to its conflict of law provisions.
Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect.
10. Changes to Terms
We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.
By continuing to access or use our Service after any revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, you are no longer authorized to use the Service.
